Agra Land, Inc. Stock and Securities

TO: HOLDERS OF AGRA LAND, INC. STOCK

At the annual stockholder meeting in September, 1985, the stockholders of Agra Land, Inc. voted overwhelmingly to approve a plan for the cooperative to cease doing business, dispose of fixed assets, terminate employees, pay debt, and satisfy creditors.

After all other claims were settled, any remaining assets were distributed to the stockholders in the order of priority established in the corporate bylaws. Upon the completion of this action, the corporation was dissolved.

All of the assets of Agra Land, Inc. were distributed in a fair and orderly manner in accordance with its Articles of Incorporation and applicable Michigan laws. Therefore, there is nothing left for the holders of the remaining outstanding Agra Land, Inc. stock. Agra Land, Inc. stock has no value; it is worthless.
